05Common-Law Trust Disclaimer
The phrase “common-law trust” can describe different legal arrangements and does not establish a uniform legal, tax, creditor, or reporting result. The validity and effect of any trust depend on governing law, drafting, intent, funding, administration, trustee conduct, tax classification, retained powers, beneficiary rights, and actual operations.
A trust is not made lawful, private, tax-exempt, creditor-proof, or immune from court review merely by its title, terminology, or use of “common law.”
06Unincorporated Nonprofit Association Disclaimer
A UNA is an organizational form whose rights, duties, filings, liability rules, governance, and tax treatment vary by jurisdiction and activity. Calling an association “nonprofit” does not automatically create state recognition, federal tax exemption, charitable status, deductibility of contributions, or immunity from reporting and operational requirements.
07Tax-Exempt Status Is Not Automatic
Tax-exempt treatment requires satisfaction of applicable statutory and regulatory criteria and, in many cases, appropriate filings, recognition, operation, recordkeeping, and restrictions. Private benefit, inurement, political activity, unrelated business income, compensation, distributions, and other conduct may affect status or liability.
08Beneficial Ownership Information Disclaimer
The December 2023 FinCEN Small Entity Compliance Guide listed 23 exemption categories. Exemption No. 19 was titled “Tax-exempt entity.” The guide stated that an entity qualifies only if one of the specified criteria applies, including certain organizations described in Internal Revenue Code section 501(c) and exempt under section 501(a), certain political organizations under section 527, or certain trusts described in section 4947(a)(1) or (2).
09No Guaranteed Asset Protection or Creditor Immunity
No structure can be represented as universally immune from lawsuits, creditors, judgments, liens, bankruptcy rules, domestic-relations orders, government claims, tax collection, or court process. Transfers made to hinder, delay, or defraud creditors may be challenged or reversed. Existing claims, insolvency, control, commingling, retained benefits, and timing may materially affect results.
10No Absolute Privacy or Anonymity
Trusts, associations, trustees, managers, signers, beneficial owners, controlling persons, and transactions may be subject to disclosure to banks, tax authorities, courts, regulators, counterparties, service providers, or other authorized parties. No lawful service can guarantee complete anonymity or concealment from required reporting.
11No Banking, EIN, Funding, or Acceptance Guarantee
Financial institutions, the IRS, state agencies, payment processors, lenders, title companies, insurers, and other third parties make independent decisions. We do not guarantee EIN issuance, bank-account opening, merchant processing, title acceptance, credit, funding, rates, terms, or recognition of a structure.
12Documents Require Fact-Specific Review
Templates and sample language are not universally suitable. Documents should be customized, executed, witnessed, notarized, delivered, funded, recorded, and maintained as required by applicable law and the intended transaction. Independent counsel should review final documents before use.
13Implementation Determines Results
Legal and tax consequences depend on actual conduct after formation. Failure to maintain separate records, follow governing documents, observe fiduciary duties, document decisions, file returns, report changes, or avoid commingling may undermine intended objectives.
14Independent Professionals
Any attorney, CPA, tax professional, trustee, registered agent, bank, lender, insurance professional, or other specialist introduced through TPT Financial is independent unless expressly agreed otherwise. Their advice and services are governed by separate agreements.
15No Government Affiliation
TPT Financial is not FinCEN, the IRS, the U.S. Department of the Treasury, a court, a state filing office, or any other government agency. References to statutes, regulations, forms, or government guidance are for educational context and do not imply endorsement.
16Law and Guidance Change
